Zora Terms of Service (SMS & Email Communications)

1. Introduction & Acceptance of Terms

Welcome to Zora’s messaging service. These Terms of Service (“Terms”) govern your use of the SMS text messaging and email communication services provided by Zora (the “Service”). By opting in to or using our Service, you agree to these Terms. If you do not agree, please do not use the Service. Zora is committed to compliance with all applicable laws and industry guidelines for messaging, including the Telephone Consumer Protection Act (TCPA) and the Cellular Telecommunications Industry Association (CTIA) best practices. This means we only send communications to users who have given explicit consent and we provide clear opt-out methods, ensuring you receive messages only if you want them. We may update these Terms from time to time; material changes will be posted here with an updated “Last Updated” date, and continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Service Description

Zora provides marketing and informational communications via text message and email on behalf of our dental practice clients. When you submit your phone number or email through a web opt-in form for one of our clients (for example, a form on your dental provider’s website), you are subscribing to receive communications related to that dental practice through Zora’s Service. No user account or purchase is required to receive these messages – your consent is entirely voluntary and is not a condition of any purchase or service. The types of messages you may receive include appointment reminders, oral health tips, promotional offers, and other updates related to dental services. We will always disclose the purpose of the messaging program at opt-in so you know what kind of messages to expect. Zora does not charge you any fees for joining or receiving messages; however, please note that standard carrier fees (such as text messaging or data charges) may apply as described below.

3. User Consent and Opt-In

By providing your contact information and confirming your desire to subscribe (e.g. by submitting an opt-in form or replying “YES” to a confirmation text), you affirmatively consent to receive recurring SMS/text messages and emails from Zora on behalf of the dental provider identified at sign-up. This explicit opt-in process is required by law and industry rules – we will not send you marketing texts without your clear permission. You understand that the messages may be sent using an autodialer or other automated system. In some cases, we may utilize a double opt-in process to further confirm your consent: for example, after you sign up on a website, you might receive a text asking you to reply “YES” to verify your subscription (standard message rates apply to such confirmation). By opting in, you represent that you are the authorized user of the telephone number or email address provided, and that you are at least 18 years old (or have permission from a parent/guardian if a minor). Consent is not a condition of purchase of any goods or services. We maintain records of your consent and comply with all carrier requirements under A2P 10DLC for obtaining and honoring consumer consent.

4. Message Frequency and Content

When you subscribe, you will receive periodic messages from us related to the specific dental provider or campaign you signed up for. Message frequency may vary depending on the campaign or your interaction. We will inform you of the expected frequency at the time of opt-in (for example, “up to 4 messages per month” or “message frequency varies”). Generally, you can expect no more than a handful of messages per month per subscription unless otherwise specified; we strive to avoid overwhelming you with too many texts. These messages are recurring and ongoing until you opt out. The content of messages may include (but is not limited to) appointment reminders, confirmations, follow-up care instructions, clinic announcements, promotional offers or discounts, and educational tips. Each message will clearly identify the sender (your dental provider or Zora) and the purpose, so you know it’s related to your dental care or marketing program. We adhere to carrier and industry guidelines by providing you with this information upfront and not sending unrelated or deceptive content.

5. Message and Data Rates

Zora does not charge you for sending or receiving SMS messages as part of this Service. However, message and data rates may apply to texts, multimedia messages (MMS), or data usage, as determined by your mobile phone carrier. You are responsible for any such charges billed by your carrier. For example, your cellular provider may charge you for text messages or data usage if you do not have an unlimited messaging plan. These costs are outside of Zora’s control. Check with your wireless provider if you have questions about your plan’s specific message or data rates. Zora is not liable for any messaging charges incurred on your mobile bill; those are solely between you and your carrier. Please be aware that if you provide a mobile number, you consent to receive SMS messages and acknowledge that standard carrier rates may apply to those messages.

6. Opt-Out Instructions

Your participation in our messaging Service is voluntary, and you may opt out at any time. To stop receiving SMS text messages, simply reply to any Zora text with the word “STOP.” When we receive a STOP request from you, we will send a final confirmation message and cease further texts to your number for that campaign (no further messages will be sent afterward). You can also use any equivalent opt-out keywords recognized by the industry (such as “UNSUBSCRIBE” or “CANCEL”) – our system honors those as well. For emails, you may click the “unsubscribe” link in any promotional email to be removed from that mailing list. Customer Support: If you need help or have questions, you can reply “HELP” to any of our text messages, which will trigger an automated help response. You may also contact us at [email protected] for assistance at any time. We will be happy to assist with any issues or inquiries regarding the Service. Opting out of one texting campaign will not affect other campaigns you might have subscribed to; if you receive messages from multiple dental providers, please opt out of each one separately if desired.

7. Privacy and Data Use

We take your privacy seriously. By using the Service, you agree to Zora’s collection and use of your contact information (such as your phone number, email address, and any other personal details you provided) in accordance with our Privacy Policy (available on our website). We use this information solely to deliver the requested communications and administer the Service, and for no other purpose without your consent We do not sell or share your mobile number or personal data with third-party marketers. In fact, our policies prohibit sharing your opt-in information with any third parties for their own marketing or promotional uses. Your information may be shared with our trusted service providers or the specific dental practice solely as needed to send you messages or operate this Service (for example, our SMS delivery partner or email platform), and always in compliance with privacy laws. We implement appropriate security measures to protect your data; however, please note that no data transmission can be guaranteed 100% secure. 8. Disclaimers of Warranty & Liability

Service Availability: Zora’s messaging Service is provided on an “as is” and “as available” basis. While we endeavor to send communications promptly and accurately, we do not guarantee that every message will be delivered or received at a particular time. Delivery of SMS messages is subject to effective transmission by your mobile carrier and network operator, and therefore message delivery is not guaranteed. Factors outside our control (such as carrier outages, network issues, or device problems) may delay or prevent message delivery.

No Warranty: To the fullest extent permitted by law, Zora disclaims all express or implied warranties regarding the messaging Service, including but not limited to any warranties of accuracy, non-infringement, merchantability, or fitness for a particular purpose. You understand that use of the Service is at your own risk.

Limitation of Liability: By subscribing to and using our SMS/email Service, you acknowledge and agree that Zora (including our owners, affiliates, and service providers) will not be liable for any damages or losses arising from your use of or inability to use the communications, or from any delays, errors, non-delivery, or misdirected delivery of messages. This includes, without limitation, any liability for lost profits, lost opportunities, improper message content, or any incidental, consequential, or special damages, even if we have been advised of the possibility of such damages. In plain terms, Zora is not responsible for any harm or inconvenience you might experience due to a message not being received, being received late, or containing an error. Additionally, Zora is not responsible if any message is filtered or blocked by your mobile provider or email spam filters. You are responsible for keeping your contact information up-to-date with the dental provider and for any consequences if you provide us an incorrect phone number or email. Some jurisdictions do not allow certain warranty disclaimers or liability exclusions, so portions of these disclaimers may not apply to you. However, we will in no case be liable for more than the amount of fees (if any) you have paid for the Service.

9. Changes or Termination of Service

Zora reserves the right to modify or discontinue the messaging Service (in whole or in part) at any time. We may, for example, temporarily suspend the Service for maintenance or discontinue support for a particular carrier or channel. We may also terminate your subscription to the Service if we believe your number is no longer valid, if messages are undeliverable, or if you violate these Terms. We will not be liable for any modification, suspension, or discontinuation of the Service. If we make material changes to these Terms, we will update the date at the top and, if required, provide notice to you. It is your responsibility to review any updates to the Terms posted on our website. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
